LEGAL
Service Provider Terms & Conditions
For partners and merchants.
1. General Provisions and Affiliation
1.1. Scope: These Service Provider Terms and Conditions (hereinafter: Terms) govern the legal relationship between BGP Global Systems (hereinafter: Provider) and B2B Partners, Venue Owners, and Service Providers (hereinafter: Partner) joining the BGP ecosystem.
1.2. Final Acceptance: By registering on the BGP platform, creating a partner profile, and selecting a B2B package (Standard, Regional Founder, or VIP Sponsor), the Partner expressly accepts these Terms and the provisions of the B2B Master Code of Conduct.
2. Partner Registration, Administrative Review, and Approval
2.1. Mandatory Admin Review and Delayed Publishing: The Partner acknowledges that any new partner application, registration, as well as any modifications made to the partner profile or offerings (e.g., welcome offers, photos, descriptions) are subject to strict administrative review. Under no circumstances will these result in immediate, automated publishing on the public platform.
2.2. Administrative Modification Request: The administrator of BGP Global is entitled to review submitted data, photos, or conditions and, if necessary, request the Partner to make appropriate changes or corrections to maintain the platform's quality standards. Content goes live exclusively after admin approval.
3. Live Drops and Promotional Offers Handling
3.1. Prior Submission Obligation: For instant advertisements, periodic promotions, and Live Drops initiated by the Partner, the Partner is obliged to submit all materials, texts, and photos as early as possible, well before the planned launch of the campaign, into the BGP system.
3.2. Admin Approval Before Launch: No Live Drop or promotional offer may start automatically; administrative verification and approval are mandatory prerequisites for public visibility and go-live.
4. Partner Packages, Subscription, and Fees
4.1. Packages and Obligations: The Partner is obliged to fulfill the discounts undertaken towards BGP members according to their chosen package (e.g., for the Standard package, providing a photo-matching welcome drink, snack, or a minimum 10% direct discount from the fixed list).
4.2. Pre-Launch and Subscription Fees: Subscription fees paid during the pre-launch phase and voluntary contributions to the Development Fund are non-refundable; they are directly utilized for software development and network expansion. Standard monthly subscription pricing follows the current price list.
5. Hygiene, Quality, and Photo-Match Standards
5.1. On-Site Standards: The Partner undertakes to maintain the hospitality unit in an exceptional hygienic, aesthetic, and clean condition throughout the entire duration of services provided within the BGP ecosystem, in accordance with the B2B Master Code of Conduct.
5.2. Strict Photo-Match Standard: The Partner guarantees that the welcome drink or promotional item displayed on the platform matches 100% in composition, presentation, and portion size with the item served to the guest. Deviations or lower-quality substitutions are strictly prohibited.
6. Merchant QR Scanner Usage and Permissions
6.1. Staff Training: The Partner is obliged to train all relevant staff members (bartenders, waiters, receptionists) on how to use the BGP Merchant PWA web scanner, ensuring smooth validation within 0.8 seconds.
6.2. Handling Visual Feedbacks: Staff must follow scanner signals: green screen indicates base discount application; purple/gold screen (Founder Priority Hospitality) makes premium VIP treatment and contractual welcome perks mandatory.
7. Official BGP Plaque Placement and Responsibility
7.1. Self-Funded and Independent Installation: The Partner is solely responsible for the professional installation and placement of the official BGP NFC/QR code plaque at the venue at their own expense and initiative.
7.2. Placement Rules and BGP Context: Strictly BGP context governs plaque placement: the plaque may only be placed inside the indoor business premises (placing it on the outside of the entrance door is prohibited) at a civilized spot that aligns with BGP spirit, does not obstruct payment processes, but is convenient for check-in scanning (Proof of Presence).
7.3. Protection and Malfunction: Intentional damage, copying, or cloning of the plaque is prohibited. In case of damage or absence, the Partner must report it immediately (within 24 hours) in the BGP Partner WhatsApp group and via the Merchant App replacement interface.
8. Administrative Control and Suspension Powers
8.1. Full Admin Control: BGP Global Systems reserves the right to check, modify, or fully suspend/remove the Partner's map presence and account status from the admin panel at any time.
8.2. Immediate Exclusion and Suspension: Severe hygiene breaches, unjustified denial of discounts, violation of the code of conduct, unreported plaque absence, or intentional tarnishing of brand reputation will result in immediate suspension of the Partner's profile page, revocation of BGP Verified status, and unilateral contract termination. Mystery inspections may be conducted unannounced at any time.
9. Data Privacy and Intellectual Property
9.1. Data Protection (GDPR): The Partner and its staff may only view data necessary for guest identification during Merchant QR Scanner use, and must not store or transfer it to third parties.
9.2. Intellectual Property: BGP Global logos, trademarks, NFC/QR plaques, and "BGP Verified" badges are the exclusive intellectual property of the Provider. Upon contract termination, the Partner is obliged to remove the physical plaque immediately.
